Terms of Service

These Terms govern your use of DriveMyBiz (the “Service”), operated by Binary 201 Software Factory LLC (d/b/a Binary201), a Texas limited liability company (“Company”, “we”, “us”). By creating an account or using the Service you agree to these Terms. If you don’t agree, please don’t use the Service.

1. Your account

• You must be at least 18 years old and have authority to bind your business.
• You’re responsible for keeping your password secure and for activity under your account.
• You’ll tell us promptly if you suspect unauthorized access.

2. Subscription and billing

• Paid plans renew monthly until cancelled.
• Subscription fees are prepaid and non-refundable. Refunds are not provided for partial billing periods, except where required by law.
• You can cancel at any time from your billing settings. Cancellation takes effect at the end of the current billing period — your included plan features remain available until then, but no new overage charges will accrue after cancellation.
• Usage-based charges (AI actions, SMS, and any other metered features) accrue throughout the billing period and are billed at the end of each period as a separate line item on your next subscription invoice, or upon cancellation, whichever comes first.
• On cancellation, you authorize DriveMyBiz to charge your payment method on file for any usage-based charges accrued during the then-current billing period as a final invoice, billed immediately at the time of cancellation. This finalizes your account so accrued usage is not lost to the rolling invoice cycle.
• DriveMyBiz provides an optional safety cap on monthly overage charges, configurable on your billing dashboard. When the cap is reached, overage usage is paused for the remainder of the cycle until you raise the cap or the cycle resets. Your included quota always remains available. The default cap value is shown on your dashboard and may be changed at any time.
• Plan caps, current usage, projected overage, and the cap setting are visible in real time on your dashboard at all times so you can manage exposure before charges are incurred.
• Founder pricing, where granted, locks the listed plan rate for the first twelve (12) months of the subscription and applies an additional 20% discount to any plan during that period. After twelve months, the subscription renews at the then-current published plan rate unless otherwise agreed in writing.

3. Acceptable use

You agree not to:

• Use the Service to send spam, phishing, or any content prohibited by CAN-SPAM, TCPA, or applicable law.
• Upload content you don’t have rights to.
• Attempt to access another customer’s data, bypass authentication, or probe for security vulnerabilities outside of a coordinated disclosure.
• Resell or sublicense the Service without our written agreement.
• Use the Service for illegal activities or to harm others.

We may suspend or terminate accounts that violate these terms — usually after a warning, immediately in cases of fraud, abuse, or material legal risk.

4. Your content

You retain ownership of all data you put into DriveMyBiz — customers, jobs, invoices, files, messages. We use it only to provide the Service to you. See our Privacy Policy.

You grant us a limited license to process your data as needed to run the Service (display, store, deliver emails on your behalf, etc.). The license ends when you delete the data or cancel your account.

5. AI features

DriveMyBiz includes AI-powered features (the “Pilot AI”) that read from your business data to draft messages, summarize records, and answer questions about your business.

• AI responses are advisory. You’re responsible for reviewing them before they reach a customer.
• AI mutation actions (creating jobs, sending invoices, etc.) require your explicit confirmation in the UI.
• AI usage is metered. Overages are billed per the rate shown in your dashboard.

6. Customer communications

When you use DriveMyBiz to send emails or SMS to your customers, you confirm that:

• You have a pre-existing business relationship with the recipient OR documented consent.
• For SMS, the recipient has opted in via the double opt-in flow DriveMyBiz provides.
• You include accurate sender identification and honour unsubscribe requests.

You are the sender of record. DriveMyBiz provides the delivery mechanism; legal compliance for the content is your responsibility.

7. Service availability

We work to keep the Service available 24/7 but don’t guarantee uninterrupted access. We’ll give reasonable notice of planned maintenance where possible.

8. Disclaimers

The Service is provided “as is”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.

9. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim arising out of these Terms is limited to the amounts you paid us in the 12 months preceding the event giving rise to the claim. We’re not liable for indirect, incidental, consequential, special, or punitive damages.

10. Indemnification

You agree to indemnify and hold the Company, its affiliates, and their officers, directors, employees, and agents harmless from any claim arising out of your use of the Service, your content, or your violation of these Terms.

11. Changes to these Terms

We may update these Terms occasionally. Material changes will be announced by email at least 14 days before they take effect. Continued use after the effective date means you accept the updated Terms.

12. Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of those courts.

13. Entire agreement

These Terms, together with our Privacy Policy and SMS Terms, constitute the entire agreement between you and the Company regarding the Service and supersede any prior agreements.
